5. 你的 API Key 与第三方费用
Scholardo 的 AI 功能由你自备的第三方模型 API Key 驱动。使用这些功能所产生的任何模型调用费用,由你与相应提供商之间结算,不包含在 Scholardo 的订阅或买断费用内。你的 Key 加密存储在本地钥匙串中,请妥善保管(详见隐私政策)。
6. 可接受使用
你同意不会:将应用用于任何违法用途;规避、破解或绕过许可与授权机制;对应用进行逆向工程(适用法律明确允许的除外);转售、再分发或将你的许可证密钥转让给第三方;提取、复制、公开或再分发应用生成或写入你设备的 Agent 配置资产(提示词、skills、subagents、workflows、规则等),或将其用于开发或训练任何竞品或竞争性 AI 系统。
7. AI 输出免责
Scholardo 把 AI 智能体当作研究助手——你始终是审阅者与决策者。AI 生成的检索结果、摘要、草稿与建议可能包含错误或不准确之处。在用于学术或其他正式用途前,请务必自行核实。对于你依据 AI 输出所作的决定,Scholardo 不承担责任。
Welcome to Scholardo. By downloading, installing, or using the Scholardo app you agree to these Terms of Service. Please also read our Privacy Policy.
1. License
Subject to your compliance with these Terms, Scholardo grants you a personal, non-exclusive, non-transferable, revocable license to install and use the app on Mac devices you own or control. Scholardo is closed-source commercial software; ownership of and all intellectual property rights in the app remain with Scholardo.
2. Plans & pricing
7-day free trial: all features unlocked, no payment required during the trial.
Personal Annual: $49.99 / year, auto-renewing, cancel anytime.
Download the app and unlock it with a license key. Prices may change on the website; existing licenses are unaffected by future price changes.
3. Billing & renewal
Who is selling to you. Scholardo does not collect the payment. A third-party merchant of record acts as contractual reseller, entering into the sale with you in its own name, and is responsible for collecting payment, calculating and remitting VAT/GST and similar indirect taxes for your location, and issuing the invoice. Which one depends on where you are when you check out; you will see its name on the checkout page and on the receipt that follows:
Sold through Link, LLC — for most countries and territories. This is Stripe's merchant-of-record solution (Managed Payments); the transaction is acquired by one of Stripe's acquiring affiliates (Stripe Payments Company or Stripe Technology Europe, Limited). Your bank statement will show LINK.COM* followed by our name, and orders, invoices and subscriptions are managed at link.com.
Armitage Labs OÜ (Estonia, registry code 16977866, Rotermanni 14, Tallinn 10111) — trading as Creem, for buyers in mainland China. The Stripe solution above does not sell to mainland China, so checkout for those locations goes through Creem instead.
Whichever completes the sale: your counterparty for the payment is that merchant of record, while the licensor of the software and the provider of the service and support is always Scholardo.
Card details are entered on that merchant of record's own checkout pages and never reach Scholardo's servers. Annual licenses renew automatically at the end of each period unless you cancel before renewal.
Prices and tax. Prices listed on this site are exclusive of tax. Any VAT, GST or sales tax due is calculated for your location by the merchant of record and added at checkout — the total shown on the checkout page is what you actually pay. Checkout may present that price in your local currency, converted by the payment provider at a rate that includes a conversion fee.
How to cancel. The quickest route is to cancel yourself: orders through Stripe/Link are managed at link.com, and orders through Creem link to a management page from the order receipt it sends you. You can also email support (at) scholardo.com from the address you bought with, or use the contact form, and say you want to cancel — we will do it on your behalf and confirm by email, normally within one business day. You do not need to give a reason, and you can cancel at any point in the period — you keep access through the period you already paid for, and only future renewals stop. If you write in close to a renewal date and we have not replied in time, tell us: a renewal charged after you asked to cancel will be refunded.
4. Refund & cancellation policy
The short version: a free 7-day trial (no payment required), plus a 72-hour no-questions-asked money-back guarantee after you purchase.
The 72-hour promise below is something we offer voluntarily, on top of your statutory rights and of the merchant of record's buyer terms. It does not replace or limit any right you have under the consumer protection law where you live. Because the merchant of record is the seller on the transaction, it can also decide refunds independently — under the law, card scheme rules or its own policy, including outside our 72-hour window.
Free trial: the 7-day trial is completely free — no payment and no purchase is required to use it. It is not "7 days after you buy"; it is a free trial offered before you pay anything. When it ends, you choose whether to buy a license to keep going; you are not charged unless and until you decide to purchase.
72-hour money-back guarantee: within 72 hours of an actual charge (your first annual payment or your lifetime payment) you may request a full refund, no questions asked. This applies to both the Personal Annual and Personal Lifetime plans. (Because the free 7-day trial already gives you ample time to evaluate, the post-purchase refund window is 72 hours.)
How to request a refund: email us at support (at) scholardo.com with the email you ordered with or your license key. We will then issue the refund with that merchant of record; the money goes back to your original payment method, usually within a few business days. You can also contact the merchant of record's buyer support directly: for Stripe/Link orders see support.link.com, and for Creem orders use the contact details in its order receipt.
After the window: beyond 72 hours our voluntary promise above no longer applies — but rights granted to you by law, and anything the merchant of record may decide under its own buyer terms, are unaffected. For annual plans you can still cancel anytime to stop future renewals.
Talk to us first: if anything about a charge looks wrong, please email us at support (at) scholardo.com first — we will resolve it quickly and fairly, so there is no need to file a chargeback.
Invoices and expense claims
Invoices are issued by the merchant of record, not by Scholardo. Buy through Stripe and the receipt and invoice PDFs arrive attached to the payment confirmation email; buy through Creem (which applies to buyers in mainland China) and you can download them from the order page linked in Creem's order email. Both state the amount, the tax and the order number.
Two limitations apply specifically to mainland China:
The document is a commercial invoice issued by a non-Chinese entity — not a Chinese VAT invoice (增值税发票) — and carries no VAT deduction entitlement.
Checkout provides no field for a Chinese company name or taxpayer identification number; Creem's tax-ID field currently accepts EU VAT IDs only.
Many organisations accept such documents under their foreign-expense process, but whether yours does is determined by its own finance rules. Scholardo cannot undertake that it will be accepted, and a rejected expense claim does not create a right to a refund (your statutory rights and the voluntary promise in section 4 are unaffected). If your finance department needs supporting paperwork — a statement of the purchase, a Chinese translation of the line item — contact us using the details in section 13 and we will provide what we reasonably can.
If you are purchasing on behalf of an institution, or need a particular form of documentation, ask about Team: it is contracted by hand, with the form and issuer of the paperwork agreed separately.
5. Your API keys & third-party costs
Scholardo's AI features are powered by AI provider API keys that you supply yourself. Any model-usage costs incurred by using those features are settled directly between you and the relevant provider and are not included in your Scholardo subscription or lifetime fee. Your keys are stored encrypted in your local Keychain — keep them safe (see the Privacy Policy).
6. Acceptable use
You agree not to: use the app for any unlawful purpose; circumvent, crack, or bypass the licensing and entitlement mechanisms; reverse engineer the app (except where expressly permitted by applicable law); resell, redistribute, or transfer your license key to a third party; or extract, copy, publish, or redistribute the Agent Configuration Assets the app generates or writes to your device (prompts, skills, subagents, workflows, rules, and the like), or use them to develop or train any competing product or AI system.
7. AI output disclaimer
Scholardo treats AI agents as research assistants — you remain the reviewer and the decision-maker. AI-generated search results, summaries, drafts, and suggestions may contain errors or inaccuracies. Always verify them before relying on them for academic or other formal use. Scholardo is not responsible for decisions you make based on AI output.
8. Intellectual property
The research content you import, create, or generate in Scholardo is yours. The app itself, its branding, interface, and code belong to Scholardo and are protected by intellectual-property laws.
To enable third-party command-line AI tools to function, the app generates or writes to your device a body of Agent Configuration Assets (prompts, instructions, skills, subagents, workflows, rules, the contents of CLAUDE.md, and the seeds that generate them). These are proprietary works and trade secrets of Scholardo, and all intellectual-property rights in them remain with Scholardo. Their appearance in human-readable form on your device — necessary for the software to run — grants you no right to copy, extract, publish, redistribute, or create derivative works from them; nor may you use them, in whole or in substantial part, to develop or train any competing product or AI system.
9. Disclaimer of warranties
The app is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the app will be uninterrupted, error-free, or meet all of your requirements.
10. Limitation of liability
To the maximum extent permitted by applicable law, Scholardo shall not be liable for any indirect, incidental, special, or consequential damages. Our aggregate liability under these Terms shall not exceed the greater of the total amount you actually paid for the software, or the amount you paid in the 12 months preceding the claim.
11. Termination
We may terminate your license if you breach these Terms. You may stop using and uninstall the app at any time. Because your research data is stored locally, termination does not delete the data on your machine.
12. Changes to these Terms
We may update these Terms from time to time. Material changes will be reflected in the "Last updated" date at the top of this page; continued use means you accept the updated Terms.
13. Governing law, and the two contracts
One purchase creates two separate contracts, with different counterparties and different governing law:
The licence — between you and Scholardo, which is what these Terms govern. These Terms do not nominate a single governing law: Scholardo is run by one person and sold worldwide, and if you bought as a consumer the mandatory law where you habitually live applies regardless (see the next paragraph). Disputes about the licence are therefore governed by whatever the conflict-of-laws rules of your own jurisdiction determine.
The sale — between you and the merchant of record for that transaction (Sold through Link, LLC or Armitage Labs OÜ, see section 3) — is governed by the law and dispute procedure set out in its buyer terms. These terms do not change, and cannot change, that part.
Disputes about payment, invoices, tax or executing a refund belong to the second contract; disputes about the licence, seats or how the software works belong to the first. If you are not sure which, email us and we will tell you who to approach.
Your mandatory rights are unaffected. If you bought as a consumer, nothing in these Terms — including the choice of law above — removes or limits the rights you have under the mandatory consumer protection law of the country where you habitually live, or your right to bring proceedings in your local courts. Where these Terms conflict with such mandatory rules, those rules prevail and the rest of these Terms continue to apply.
Talk to us first. Before starting any formal proceeding, please email us and allow 30 days to resolve it. Almost everything — a charge, an activation, a refund — is settled at this step, and faster than by any other route.
14. General
Severability: if any provision of these Terms is held invalid or unenforceable by a competent authority, that provision fails only to the minimum extent necessary and the remainder stays in full effect.
Entire agreement: these Terms together with the Privacy Policy are the whole agreement between you and Scholardo about the software, and replace any earlier statement, spoken or written. Nothing said in marketing material, on social media, or in conversation adds to or changes them.
No waiver: not enforcing a right on one occasion is not a waiver of it, and does not prevent us from enforcing it later.
Assignment: we may transfer our rights and obligations under these Terms as part of a merger, acquisition or transfer of assets — your licence and anything you have already paid for carry over unaffected. You may not transfer your rights under these Terms without our written consent.
Export control and sanctions: the software is subject to applicable export control and economic sanctions law. You confirm you are not located in, and are not acting on behalf of anyone located in, a comprehensively sanctioned territory, and that you are not on any applicable restricted-party list. Note that payment carries separate limits: Armitage Labs OÜ, as merchant of record, maintains its own list of countries it will not sell into, which may differ from this clause and is decided by it alone.
Force majeure: we are not liable for the licence server being unavailable because of events beyond our reasonable control (network outages, third-party service failures, acts of nature, acts of government). The software itself runs locally and offline, so an already-activated device keeps working for the life of its current token.
Notices: we contact you at the email address you bought with. Please keep it reachable — activation codes, renewal reminders and material changes to these Terms all arrive there.
